IV. TERMS OF SERVICES (For Consulting Engagements)

Services will be defined in a written proposal, SOW, or contract. ICE24 may utilize its subsidiaries to deliver services.
2. Fees & Payment
Fees may be:

- Time & materials (hourly/daily rates)
- Retainer-based
- Performance or deliverable-driven
- Invoices are payable within 15 days unless otherwise agreed.
- Late payments may incur interest at the maximum permitted rate.
3. Client Responsibilities
Clients agree to provide:

- Accurate information
- Timely approvals and feedback
4. Confidentiality
Both parties agree to maintain confidentiality of non-public information.
5. Use of Subcontractors & Subsidiaries
ICE24 may use subsidiaries or qualified subcontractors. All delivery remains under ICE24 oversight.
6. Intellectual Property
ICE24 retains ownership of methodologies, frameworks, and proprietary tools. Clients receive usage rights only for the contracted purpose.
7. Liability Limitation
ICE24’s liability is limited to the total fees paid for the engagement.
8. Termination
Either party may terminate with written notice. Client remains responsible for payment of work completed to date.
9. Governing Law
Consulting engagements are governed by:
- The laws of Slovakia when contracted with ICE24 headquarters
- The laws of the subsidiary’s jurisdiction when contracted locally
V. TERMS OF DIGITAL PRODUCTS
1. License
Purchasing or downloading any ICE24 digital product grants a non-transferable, non-exclusive, single-user license.
2. Prohibited Actions
You may not:
- Resell, redistribute, or publish the content
- Share externally without written permission
- Remove trademarks or modify content for reuse
- Incorporate ICE24 IP into derivative works
3. No Warranty
Digital products are provided “as is” without warranties of accuracy or suitability.
4. No Refunds
All digital product sales are final unless otherwise stated.

VI. TERMS FOR PROPOSALS & STATEMENTS OF WORK

Pricing is based on available information at the time of drafting. Changes in scope may require revised pricing.

5. Governing Law
Proposals issued by ICE24 HQ follow the law of the republic of Slovakia. Proposals issued by subsidiaries follow their local jurisdiction.
